(“Stellantis” or the “Company”) announced the initiation of the third tranche of its Share Buyback Program, a strategic move designed to enhance shareholder value and strengthen the company’s ownership culture. This tranche, part of a larger €3 billion program, involves a significant investment and reflects Stellantis’ commitment to financial stability and shareholder returns.

The Third Tranche: Key Details
Stellantis has entered into an agreement with an investment firm to manage the third tranche of its Share Buyback Program. This agreement, which covers up to €1 billion of the total €3 billion program, will be executed independently of Stellantis’ direct influence on the timing of purchases. The buyback period for this tranche will commence on August 1, 2024, and conclude by November 29, 2024.

Program Objectives and Strategy
The primary objective of the Share Buyback Program is to cancel the acquired common shares, enhancing the value for remaining shareholders. However, Stellantis also plans to retain up to €0.5 billion worth of shares to support future employee stock purchase plans and equity-based compensation. This dual approach aims to bolster an ownership culture within the company while avoiding shareholder dilution.

Authorization and Compliance
The share buyback is conducted under the authority granted by the shareholders during the general meeting on April 16, 2024. This authorization permits the purchase of up to 10% of the company’s capital, ensuring compliance with market regulations. The purchase price per share will not exceed 110% of the market price, calculated as the average of the highest prices over the five trading days preceding each acquisition.

Market Conditions and Regulations
Stellantis’ share buybacks will adhere to market conditions and regulatory requirements, including the Market Abuse Regulation 596/2014 and the Commission Delegated Regulation (EU) 2016/1052. These regulations ensure transparency and fairness in the execution of the buyback program.

Current Share Status
As of the announcement, Stellantis has approximately 246 million shares authorized for buyback, with 81,500,174 common shares currently held in treasury, representing 2.10% of the total issued share capital. This strategic reserve of shares will be instrumental in supporting the company’s long-term compensation and incentive plans.
